Can Foreigners Own 100% of a Cambodian Company?

Yes. Cambodia's Law on Commercial Enterprises and the 1994 Investment Law permit foreign nationals to own 100% of a Private Limited Company (known as a "Co., Ltd." or "SARL" in Khmer) in the majority of business sectors. This is one of Cambodia's most significant competitive advantages over neighbors like Vietnam, Thailand, and Indonesia, where foreign ownership is often capped.

There are a small number of restricted sectors (see below), but for the vast majority of businesses — trading, services, technology, consulting, hospitality, retail, and manufacturing — 100% foreign ownership is fully permitted and legally protected.

    Restricted Sectors (Partial List)

    • Land ownership (foreigners can own via trust structures)
    • Certain media and broadcasting activities
    • Some agricultural land activities
    • Defense and military contracting
    • Certain natural resource extraction (specific licensing required)

Our lawyers confirm sector eligibility during your initial consultation before any work begins.

    The CamDX Digital Registration System

The CamDX (Cambodia Data Exchange) portal at registrationservices.gov.kh is Cambodia's integrated business registration platform. Launched as part of the Government's digital transformation agenda, CamDX connects the Ministry of Commerce (MoC), General Department of Taxation (GDT), and Ministry of Labour and Vocational Training (MLVT) in a single online workflow.

Prior to CamDX, company registration required visiting multiple government offices over several weeks. Now, the integrated system can process MoC incorporation and GDT tax registration simultaneously, dramatically reducing the timeline. Our lawyers are CamDX-certified and navigate the portal daily.

Complete Registration Process: Step by Step

    1
    Reserve Khmer Company Name
    1–2 days
All Cambodian companies must have a Khmer-script name. Our team proposes options, checks availability via the Ministry of Commerce (MoC) database, and reserves your chosen name for 30 days.
    2
    Prepare Notarized Articles of Association
    2–3 days
Draft Memorandum and Articles of Association (MA&A) tailored to your business activities. Includes shareholder structure, share capital allocation, and corporate governance provisions. Documents must be notarized at a Cambodian notary.
    3
Submit to CamDX (Ministry of Commerce)
3–5 business days for MoC approval
All documents are submitted electronically via the CamDX portal (registrationservices.gov.kh). Our team handles the online filing, uploads notarized documents, and pays the government registration fee (~KHR 2,155,000 / approx. USD 540).
    4
    Tax Registration with GDT
    2–3 days (concurrent with MoC)
Register with the General Department of Taxation (GDT) to obtain your Tax Identification Number (TIN). This is mandatory for all businesses. Filed via CamDX simultaneously with MoC registration in an integrated process.
    5
    MLVT Registration (Employment)
    3–5 days
Register your company with the Ministry of Labour and Vocational Training (MLVT) to establish an employment record and access the work permit system for future foreign hires.
    6
    Corporate Bank Account
    1–2 weeks (bank-dependent)
Open a corporate bank account with an approved Cambodian bank. Our team prepares the required documentation and accompanies you to the bank (or coordinates on your behalf for non-residents).
    7
    Operational Setup
    3–5 days additional
Optional: Register for VAT (mandatory if turnover >USD 125,000/year), set up monthly tax filing schedule, and register trademarks if required.

    Post-Registration Requirements

Once registered, Cambodian companies must comply with ongoing obligations. Our lawyers advise on all of the following:

    • Monthly tax filing (Withholding Tax, VAT, Prepayment Tax) with GDT by the 20th of each month
    • Annual Tax Return submission by March 31 each year
    • NSSF (National Social Security Fund) monthly contributions for all employees
    • Annual MLVT registration renewal and employee declaration
    • Annual Patent Tax payment (approx. USD 50–200 depending on company size)
    • Audited financial statements for companies meeting threshold requirements
    • Corporate governance updates (shareholder changes, director appointments) filed with MoC

Do I Need to Be in Cambodia to Register?

No. Our lawyers can handle the majority of the registration process remotely with notarized, apostilled documents sent from your home country. The main in-person requirement is the corporate bank account opening — most Cambodian banks require the account holder to be present, though some institutions allow representation with a notarized power of attorney for non-resident directors.

Many foreign entrepreneurs register their Cambodian company before arriving, ensuring everything is operational from day one. Our team coordinates the remote process efficiently and keeps you updated at each step.
